Legal framework governing our services and client relationships

Binding Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between Web Cuisine Agency ("we", "us") and our clients ("you"). By engaging our services, you agree to these Terms in full.

These Terms govern all services provided by Web Cuisine Agency, registered at Neumeisterstr. 16, 13585 Berlin, Germany (VAT-ID: DE370549021).

Web Design Services

1. Service Models

Model A Subscription Service

  • Minimum Term: 12 months
  • Billing: Monthly in advance
  • Scope: Ongoing design/development
  • Termination: 30-day notice after initial term
Early termination during first year incurs remaining contract value or €1,500 fee (whichever is less).

Model B Lump Sum Project

  • Payment: 50% deposit, 50% on delivery
  • Binding: Upon quote acceptance
  • Scope: Fixed project deliverables
  • Cancellation: See Section 3
Accepted quotes create immediate payment obligation. Cancellation fees apply.

2. Payment Terms

  • First payment due upon contract signing
  • Recurring charges on same date monthly
  • Late payments incur 5% monthly interest
  • Services suspended after 15 days overdue

  • 50% non-refundable deposit required to begin work
  • Final payment due before delivery of source files
  • All payments in EUR via SEPA transfer
  • No refunds for completed work stages

3. Cancellation Policy

Subscription Cancellation

During initial 12-month term:

  • €1,500 early termination fee or
  • Remaining contract balance (whichever is less)

After initial term: 30-day written notice required.

Project Cancellation

After quote acceptance:

  • Deposit is non-refundable
  • Additional €75/hour for work completed
  • Maximum cancellation fee: 30% of project value
All cancellation requests must be submitted in writing to [email protected]. Verbal cancellations are not valid.

4. Delivery & Revisions

Delivery Timeline

  • Initial mockups within 10 business days
  • Development milestones as agreed
  • Final delivery after final payment

Revisions Policy

  • 2 rounds of revisions included
  • Additional revisions at €95/hour
  • Major changes may require new quote

Custom Web Development

1. Project Engagement

Lump-Sum Only: All custom development projects are exclusively offered under fixed-price contracts upon quote acceptance.
  • Binding Agreement: Quote acceptance creates immediate payment obligation
  • Scope Lock: Development begins only after signed approval of project specifications
  • Change Control: Any scope modifications require written change orders

2. Payment Structure

Deposit

  • 50% of total fee
  • Non-refundable
  • Due immediately

Milestone

  • 30% at beta delivery
  • Testable prototype
  • Due within 5 days

Final

  • 20% at completion
  • Before source transfer
  • + VAT if applicable

3. Cancellation Policy

Development Phase

  • Before development: Deposit forfeited (50%)
  • During development: Deposit + €95/hour for work completed
  • Maximum fee: 75% of project value

Post-Delivery

  • Refundable: up to 30 day's after final acceptance
  • Bug fixes covered under warranty
  • New features require new contract
Cancellation fees must be paid within 14 days of termination notice.

4. Technical Specifications

  • Production-ready source code
  • Documentation (technical + user)
  • Database schemas if applicable
  • 1-hour handover session

  • Bug fixes for specifications-compliant work
  • Excludes:
    • Third-party software issues
    • Client-made modifications
    • Feature additions

5. Client Responsibilities

Must Provide

  • Complete content/assets by agreed date
  • Timely feedback (48h for review cycles)
  • Access to necessary systems/APIs

Not Included

  • Content creation/copywriting
  • Third-party licensing costs
  • Hosting configuration post-launch

2. Payment Models

Option A Lump Sum

  • 50% deposit to begin work
  • 50% balance before final delivery
  • Fixed project scope
  • Price locked for 30 days
Best for one-off brand projects

Option B Subscription Bundle

  • Combined with web design subscription
  • Monthly payments over 12 months
  • Includes 2 annual brand refreshes
  • 10% discount vs lump sum
Requires 1-year minimum term

3. Ownership Rights

Full Ownership Transfer

Upon final payment, you receive 100% ownership of all created brand assets, including:

  • Unlimited usage rights
  • Editable source files
  • Font licenses (unless otherwise noted)
  • Registration-ready logo files
No royalties or ongoing fees. We only retain the right to display work in our portfolio (Art. 12(2) German Copyright Act).

2. Pricing Models

3. Service Terms

  • Platform fees billed separately
  • Minimum 30-day notice to pause campaigns
  • Optimization cycles every 14 days

4. Client Responsibilities

5. Termination

Subscription Credits

  • Forfeiture of unused credits
  • Pro-rated refund for prepaid unused months
  • €250 early termination fee if under 6 months

  • Up to 25 page optimizations/month (Enterprise tier)
  • Quarterly backlink profile analysis
  • Excludes content creation (see Copywriting section)

We cannot guarantee specific ranking results due to:
  • Algorithm changes (Google/Bing updates)
  • Competitor activities
  • Client website technical constraints
  • Market volatility

4. Client Requirements

  • Google Search Console access
  • Analytics admin privileges
  • CMS editor permissions
  • Target keyword list (initial)

Response Times

  • 48h for approval of recommendations
  • 5 business days for implementing on-site changes
  • 7 days for content revisions

5. Performance Reporting

1. Service Level Agreement (SLA)

Uptime Guarantee

  • Starter: 99.5% monthly
  • Business: 99.8% monthly
  • Enterprise: 99.9% monthly

Response Times

  • Starter: 4h for critical issues
  • Business: 2h for critical issues
  • Enterprise: 1h 24/7 response
SLA credits apply only to all tiers - 5% monthly refund per 0.1% below guaranteed uptime

2. Service Terms

Prohibited activities include:

  • Illegal content per German law (§§86, 86a StGB)
  • Spam/phishing operations
  • Cryptocurrency mining
  • Unapproved bulk emailing
  • Resource-intensive scripts without notification

Violations may result in immediate suspension without refund.

  • Starter: Weekly backups (14-day retention)
  • Business: Daily backups (30-day retention)
  • Enterprise: Real-time + point-in-time recovery
  • All tiers: Client responsible for maintaining own backups

3. Payment & Cancellation

Billing

  • Monthly or annual billing (5% discount)
  • Auto-renewal 3 days before cycle end
  • Late payments incur 5% monthly interest
  • Suspension after 7 days non-payment

Termination

  • 30-day notice for cancellation
  • No prorated refunds for monthly plans
  • Annual plans refunded at 50% of unused months
  • Data deleted 14 days after termination

4. Migration Policy

Inbound Migrations

  • Starter: Self-service only
  • Business: 1 free migration
  • Enterprise: Managed migration service

Outbound Transfers

  • 7-day grace period after cancellation
  • €50 admin fee for full cPanel exports
  • Email forwarding available for 30 days

Maintenance Services

1. Service Details

Update Policy

  • Basic: Monthly updates (next business day)
  • Standard: Weekly updates (within 24h)
  • Premium: Immediate security updates
  • All updates tested on staging first

Security Measures

  • Malware scanning and removal
  • Brute force attack protection
  • SSL certificate monitoring
  • Security hardening (WP-CLI)

2. General Terms

Included services:

  • CMS, plugin and theme updates
  • Security monitoring and hardening
  • Backup management
  • Basic content updates (text/images)
  • Performance optimization

Excludes: Design changes, new features, or custom development

  • Basic: 24 hour response time
  • Standard: 12h response time
  • Premium: 6h response 24/7

Emergency fees may apply for non-covered issues

3. Service Activation

Onboarding

  • Initial security audit
  • Backup configuration
  • Staging environment setup
  • Uptime monitoring configuration

Maintenance Windows

  • Scheduled updates: Mon-Fri 20:00-23:00 CET
  • Emergency maintenance: 24/7
  • 48h notice for non-emergency downtime

General Terms

1. Intellectual Property

  • 100% your ownership upon full payment
  • We retain rights to portfolio display
  • Open-source components maintain original licenses
  • Client provides all necessary usage rights for supplied assets

2. Liability

Our liability is limited to the contract value. We are not liable for:
  • Third-party service failures
  • Client-provided content errors
  • Consequential/business damages

3. Governing Law

Jurisdiction

These Terms are governed by German law. Disputes will be resolved in Berlin courts.

EU Consumer Rights

EU consumers retain statutory rights under Directive 2011/83/EU.
